End User Agreement (EUA)

This End User Agreement ("Agreement") is a legal agreement between you ("User") and VortexHQ ("Provider") for the use of the VortexHQ desktop application ("Software").

By installing or using the Software, you agree to be bound by this Agreement.

1. Grant of Access

The Provider grants you a personal, non-exclusive, non-transferable, limited right to install and use the Software on devices you own or control, subject to the terms of your subscription plan.

• Free Tier: Limited functionality as described on our website
• Pro / Team Tier: Full functionality for the duration of your active subscription

2. Ownership

The Software is provided as a service subscription. The Provider retains all ownership rights, title, and interest in the Software, including all intellectual property rights. This Agreement does not grant you any ownership rights.

3. Restrictions

You shall NOT:

• Copy or Distribute: Make copies of the Software for distribution to third parties
• Modify: Alter, adapt, translate, or create derivative works based on the Software
• Reverse Engineer: Decompile, disassemble, reverse engineer, or attempt to derive the source code
• Transfer: Sell, rent, lease, or transfer your subscription to any third party
• Circumvent: Bypass, disable, or interfere with any authentication or security features
• Share Credentials: Share your account or login credentials with others

4. Subscription & Activation

Paid plans are activated via your VortexHQ account. Each subscription is valid for one user. Misuse of accounts (sharing, reselling, or fraud) will result in immediate revocation without refund.

5. Subscription & Termination

Your subscription is active for the duration of your billing period. If your subscription expires or is cancelled:

• Pro/Team features will be disabled
• Your data will remain accessible in read-only mode for 30 days
• After 30 days, cloud-synced data may be deleted
• Local data remains on your device and is unaffected

6. Updates

We may release updates, patches, or new versions. You agree that such updates may be automatically installed. Continued use constitutes acceptance of updated terms.

7. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. THE PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE. THE PROVIDER'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE PRECEDING 12 MONTHS.

9. Data Collection

The Software may collect certain data as described in our Privacy Policy, including machine identifiers, usage statistics, and account information. By using the Software, you consent to this data collection.

10. Export Compliance

You agree to comply with all applicable export and import laws and regulations.

11. Governing Law

This Agreement is governed by the laws of the European Union and the Republic of Bulgaria.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and the Provider regarding the Software and supersedes all prior agreements.
