Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VortexHQ desktop application ("Software"), website, and related services (collectively, the "Service") provided by VortexHQ ("we", "us", "our").

By downloading, installing, or using the Software, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Usage Rights

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Software for your personal or business purposes. You do not own the Software. You are purchasing a subscription to use it.

2. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of unauthorized access
• Accept responsibility for all activity under your account

3. Subscription Plans & Payment

The Service offers free and paid subscription tiers. Paid subscriptions are billed on a recurring basis (monthly or yearly). By subscribing, you authorize us to charge your payment method at the applicable rate.

• Prices may change with 30 days' notice
• Subscriptions auto-renew unless cancelled before the renewal date
• Downgrading may result in loss of features and data associated with higher tiers

4. Prohibited Uses

You agree NOT to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Copy, modify, distribute, sell, or transfer the Software
• Share your account credentials with others
• Use the Software for any unlawful, abusive, or fraudulent purpose
• Circumvent technical restrictions or authentication mechanisms
• Use automated tools to abuse the SMTP testing service or any API
• Resell access to the Software or its features
• Remove or alter any copyright, trademark, or proprietary notices

5. Intellectual Property

The Software, including all code, design, logos, trademarks, and documentation, is and remains the exclusive property of VortexHQ. All rights not expressly granted are reserved.

6. Data & Cloud Services

Certain features (Cloud Sync, API Nexuses, SMTP Testing) transmit data to our servers. You retain ownership of your data. We process it only as necessary to provide the Service. See our Privacy Policy for details.

7. SMTP Testing Service

The SMTP capture server is provided for development and testing purposes only. You must not:

• Use it to send spam or unsolicited communications
• Route production email traffic through it
• Exceed the rate limits and quotas defined for your tier

8. Termination

We may suspend or terminate your access at any time if you violate these Terms. Upon termination:

• Your access to the Software is immediately revoked
• You must delete all copies of the Software
• We may delete your account data after a reasonable retention period

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORTEXHQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms are governed by the laws of the European Union and the Republic of Bulgaria. Any disputes shall be resolved in the courts of Sofia, Bulgaria.

12. Changes to These Terms

We may update these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be communicated via email or in-app notification.
